Welcome to BinUp! Please read these Terms of Service (“Terms”) carefully before using our website at binup.app or any of our related software and services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

These Terms constitute a legally binding agreement between you (as an individual or on behalf of a company) and BinUp, a company based in San Antonio, Texas, USA (“BinUp,” “we,” “our,” or “us”).

About BinUp
BinUp is a cloud-based inventory management platform designed to help individuals, crafters, and small businesses track and manage their inventory. Our Service includes web-based tools, dashboards, and related features made available through binup.app.
Eligibility
You must be at least 18 years old to use the Service. By using BinUp, you confirm that you meet this requirement and have the legal authority to enter into these Terms on behalf of yourself or your organization.
Account Registration
To access the Service, you must create an account. You agree to:

Provide accurate, complete, and current information during registration;
Keep your account credentials confidential and not share them with others;
Notify us immediately at support@binup.app if you suspect unauthorized access to your account;
Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that contain false or misleading information.

Subscriptions and Billing
BinUp offers free and paid subscription plans. By selecting a paid plan, you agree to the following:

Automatic Renewal: Paid subscriptions automatically renew at the end of each billing cycle unless cancelled beforehand.
Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access until that date.
Refunds: Subscription fees are generally non-refundable. If you believe you were charged in error, contact us at support@binup.app within 30 days of the charge.
Price Changes: We may change our pricing at any time. We will provide at least 30 days’ notice before any price increase takes effect for existing subscribers.
Taxes: You are responsible for any applicable taxes associated with your subscription.

Acceptable Use
You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:

Use the Service to violate any applicable federal, state, or local law or regulation;
Upload or transmit viruses, malware, or other harmful code;
Attempt to gain unauthorized access to any part of the Service or its infrastructure;
Scrape, crawl, or harvest data from the Service without our written permission;
Reverse engineer, decompile, or attempt to extract the source code of the Service;
Use the Service to develop a competing product or service;
Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
Engage in any conduct that disrupts or interferes with the Service or other users’ experience.
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

Your Data
You retain full ownership of all data, content, and information you upload to the Service (“User Data”). By using BinUp, you grant us a limited, non-exclusive license to store, process, and display your User Data solely for the purpose of providing and improving the Service.

We do not sell your data to third parties. Please review our Privacy Policy for full details on how we collect, use, and protect your information.

Data Backup: You are responsible for maintaining copies of your User Data. We recommend exporting your data regularly. Upon account deletion, your User Data will be permanently removed and cannot be recovered.

Intellectual Property
All content, features, software, trademarks, logos, and other materials that make up the Service are owned by BinUp and are protected by applicable intellectual property laws. Nothing in these Terms grants you ownership of any BinUp intellectual property.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business or personal purposes only, subject to these Terms.

Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at binup.app/privacy to understand how we handle your personal information.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BINUP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability, fitness for a particular purpose, or non-infringement;
That the Service will be uninterrupted, error-free, or completely secure;
That data or reports generated by the Service will be accurate or reliable at all times.

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BINUP AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION.

IN NO EVENT SHALL BINUP’S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BINUP IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Indemnification
You agree to indemnify, defend, and hold harmless BinUp and its owners, employees, agents, and contractors from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.
Service Availability and Modifications
We strive to keep the Service available at all times, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time. For significant changes that affect paid subscribers, we will provide at least 30 days’ notice when reasonably possible.
Termination
You may close your account at any time through your account settings. We may suspend or terminate your access to the Service if you violate these Terms or for any other reason at our discretion, with or without notice.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute resolution) will remain in effect.

Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and BinUp regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.

Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Bexar County, Texas, and you consent to personal jurisdiction in those courts.
